Terms of use
All deliveries and services provided by MSN GmbH, including online orders and Internet sales as well as direct deliveries are subject to these terms. Any amendments or agreements require an express consent of MSN GmbH in writing; this provision is also valid for any annexes in respect to the requirement of a written form.

?§1 General Terms
MSN GmbH sports nutrition, Detmolder Str., 266, 33605 Bielefeld delivers the orders only under the following trade terms and conditions, including shipping and payment terms. We do not follow trade terms of the buyer/client.
All our offers are not binding. Information provided by us on our products is approximate and descriptive. This information is not a guaranteed feature of a product. In connection with this we provide an express guarantee declaration in a written form. We reserve a right for technical adjustments, any changes of shape, flavor, recipes, packaging, size, color and/or weight within framework of mutual agreement.

?§2 Conclusion of contract
By placing an order to MSN GmbH a customer expresses his binding agreement for conclusion of the contract. The binding period counts 7 days. If the customer is a private person by placing an order he/she confirms that he/she is of the full legal age. The acceptation of the contract subject follows either in a written form via e-mail, fax or letter or upon delivery of the ordered items or handing over of the goods upon payment at our shop.
In case when the delivered by the contracted delivery company goods are returned back to MSN GmbH through the fault of the customer, for example, because of refusal to accept the goods, failure to accept the goods by the customer`s branch office without a prior notification, because of incorrect delivery address, because of refusal in a non-determined form, MSN GmbH is entitled to cancel the contract. Recession from the contract causes subsequent charges for the customer for effected packing and delivery, as well as for order processing. The charges make up to 20% of the consignment value, but not less than 10,00 euro.
In case if the customer refuses of the purchase without good reason we are entitled to charge the customer 20% of the value of the order, incurred expenses and lost profit. We reserve the right to claim for a full compensation of all financial losses. The customer`s right to dispute the charges is reserved.

?§3 Refusals and returns
The customer is entitled to appeal the contract in writing within two weeks without declaration of the reasons or by returning of the purchase. The countdown point starts upon receipt of appeal. In order to meet the reasonable time of refusal it suffices to send the refusal or the purchase itself on due time to the following address:

Please notify us about the return of the purchase right before its dispatch. Any returns without prior notification will not be accepted by us.

Refusal and return procedures
In case of an established refusal mutually effected services and incurred expenses are to be compensated. If you are not able to return the goods/services in full or partially, or only in spoilt condition you are to compensate its value. This provision is not valid when the damage or a defect has been determined in the shop. In all other cases you can avoid obligation of compensation if you did not take possession of the goods and thus you did not cause its damage. Goods that can be packed are to be dispatched. Items that are not suitable for packing will be picked up by us or our partner transportation agency. You are to bear the cost of dispatch when the ordered by you goods are being returned and when its price is lower than 40,00 euro or if its price is higher than 40,00 euro but you have not fulfilled your obligations including payment by the moment of return. In all other cases we bear the costs for dispatch of the goods being returned back.

?§4 Prices and payment terms
Prices indicated by MSN GmbH in the offers are understood as final, i.e. they include collective price constituents including possible taxes. In case of limit exceeding services further taxes and/or customs clearance fees are to be paid by the customer. The incurred expenses for packing, dispatch and insurance are not included into the price. Their values are calculated in each case individually and indicated in the invoice. The customer is granted a choice of payment systems like a bank wire, cash payment upon receipt or by a credit card.
In case if the delivery of the order is executed by us later than four months after the conclusion of the contract we are eligible to increase the price under condition that our suppliers` prices or other costs have been raised in the meantime. In other cases prices indicated in order confirmation are valid. We are also entitled to increase prices for companies and other persons according to ?§310 par. 1, clause 1 BGB in case if the delivery was effected within four months after the conclusion of the contract and when the expenses connected with goods grew up. Price increase comes into force after a written notification of the customer.
Indicated prices are valid ex-works.
The payment is considered as effected as soon as we get full access to it. In case of payment delay we are entitled to charge 5% over the corresponding prime rate according to BGB.
If the client is a company or any other person according to ?§310 par. 1 clause 1 of BGB the fine will make up 8% over the corresponding prime rate. The right for a higher compensation is reserved. If the customer delays the payment fully or partially we are entitled to cancel the contract after the expiry of the payment date. The right to withdraw from the contract is also reserved when facts about customer`s insolvency are known. If the contract is canceled by us we are entitled to charge the customer for the pick up of the delivered goods.

?§5 Property right
We reserve the property right till receipt of full payment under the contract. In case of payment delay we are entitled to cancel the contract and request for the purchase return.
We reserve the right to check the customer`s solvency after the contracted is concluded. In case of a negative result we are entitled to annul the contract. If our partner does not supply the ordered products under his contractual obligations and this causes our failure to effect the services we are eligible to cancel the contract. In this case we are to notify the customer about it and compensate your expenses towards us under the contract.
Before the expiry of the property right the client is committed to handle the goods with care. In case of sequestration or levy of execution the customer is to notify the officials about our property right and to inform us within 3 days by sending a copy of the report. The customer bears the cost of ensuring of our rights.
The customer refuses of and concedes his claims to resell the goods even when the products were supposed to be resold to a number of buyers. The client is eligible to levy his conceded claims for resell in case of our refusal to make use of the goods.
Upon our request the client is to inform the buyer about the concession, to provide necessary notification and documental proofs.

?§6 Lead time and delivery
Delivery is effected within 1-3 days depending on the chosen payment method or arrival of the bank wire to our account. If the courier of the delivery company does not meet with you for the first time, he/she is committed to notify you in writing about unsuccessful delivery. This notification prescribes to pick up the parcel at the nearest subsidiary of the delivery company within a determined period of time. Delivery time is not binding. Agreement about binding delivery time must be fixed in writing. We are eligible to partial delivery or partial execution of services.
Unpredictable circumstances like lack of power supply, delay delivery of raw materials and components, import complications, strikes, lock-outs, force-major cause delay of delivery. If we are not able to deliver the order within a reasonable period of time, both we and the client are entitled to annul the contract. Costumer`s claim for compensations of all kinds are excluded.
Dispatch of the goods from the shipping warehouse is at customer`s cost. After acceptance of goods the customer is responsible for its condition and caused damage. As soon as the goods are confirmed by us as ready for delivery or pick up but the customer does not pick up them within the determined by us period of time he/she bears responsibility for possible damage.
Export deliveries are possible at an advance bank wire or prepayment with a credit card. Invoice sum advised per e-mail or telephone should be remitted to the following bank:

?§7 Export of the goods
Export of the goods without prior agreement with MSN GmbH is prohibited. In such case we do not bear production responsibility. We must emphasize that repeated attempts of non-agreed upon exports may lead to punishment of the exporter and the buyer.

?§8 Guarantee and liability
Attention: please examine the parcel for possible damage after transportation before you confirm the acceptance of goods with your signature. All parcels that are being dispatched from our warehouse are properly packed. If you receive a damaged or broken parcel have the courier confirm the fact in writing. If the courier refuses to do it, do not accept the goods. Notify us within 3 days upon receipt about the shortage or lack of the delivered goods. Otherwise the products are regarded as accepted. In order to avoid possible misunderstandings and conflicts connected with the damage and losses during transportation please pay attention to the following when receiving the parcel:
Check the accuracy of the consignment (way bill is attached)
Check the delivery address
Check the integrity of the package
Any defect or error must be confirmed by the courier in writing. We will not bear liability for any transportation damage without the way bill. Any mistake made during examination of the parcel before acceptance will not lead to compensation of losses.

?§9 Provision for packaging treatment
The seller is obliged to accept all packaging materials that do not bear the sign of the waste treatment system and direct them for further processing.
To ensure necessary explanations the seller is to provide the client with information about waste treatment companies located in the area of client`s residence. When it is not possible the customer can send the package back to the seller free of charge. The packaging materials are to be used by the seller again or utilized in a prescribed way.

?§10 Lawful provisions
Court decision of the 12th of May 1998 ??“ 312 085/98 ??“ ???Liability for links??? made by Hamburg Land Court determines that the supplier of the website is responsible for the content of the linked sites. It can be avoided by an express distancing from the contents. Thus we distance ourselves express from the collective contents of all linked to the homepage sites. This declaration is valid for all links on all pages.

?§11 Declaration
All offered by us products are sports supplements and not medicines. All provided product descriptions, serving suggestions and other information serve only informative purposes and are based on the data of the manufacturer or were quoted from the specialized publications. You are not eligible to claim the completeness or correctness of the provided information, to replace in no case the prescriptions of the physician or the chemist with the descriptions provided on the site. The products are not suitable to diagnose or treat diseases in medical sense.
We do not bear responsibility for any damage caused by indirect or direct application of information quoted on this website. ?§12 Final provisions
These terms are governed by the law of Federal Republic of Germany. The application of UN Trade Terms is excluded. All disputed are to be settled in Bielefeld. If the customer is a merchant, a legal person of the public law or of the official law all disputes are to be solved in Bielefeld. It is also valid if the client`s place of residence is not in Germany or his/her place of residence by the moment of claim is not known.
No modifications to the contract are valid when made orally. Additions to the contract are to be made in writing. This provision is valid for rejection of the requirement of a written form. If any provision of these terms is declared invalid, illegal or unenforceable, all other provisions shall remain in full force and effect. Invalid provisions are to be replaced with legal provisions that correspond to the targeted goal to the fullest extent.
